Terms and Conditions

These Terms and Conditions ("Terms") are an agreement between you and Scarsdale Hub LLC ("Scarsdale Hub," "we," "us," or "our"), governing your access to and use of the website located at thescarsdalehub.com and any related services (together, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.

Scarsdale Hub is a membership website for the Scarsdale, NY community, offering a directory of local vendors, a community events calendar, and a directory of local resources. Some content is submitted by members and reviewed by us before it's published; some is added directly by us. Access to most of the Service requires an active paid subscription.

You must be at least 18 years old to create an account. You're responsible for keeping your login credentials confidential and for all activity that happens under your account. Provide accurate information when you register, and let us know at info@thescarsdalehub.com if you believe your account has been compromised.

Access to the Service is offered on a monthly or annual subscription basis. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically at the end of each billing period unless canceled beforehand.

You can cancel anytime from your account settings. Canceling stops future renewals, but you'll keep access through the end of the period you already paid for. Payments are non-refundable, including for partial billing periods, except where required by law.

We may change subscription pricing going forward; we'll give you reasonable notice before a price change takes effect on your next renewal.

The Service lets members submit vendor suggestions, reviews, event listings, and resource listings ("User Content"). You're solely responsible for what you submit. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute it on the Service and in related promotional materials, for as long as it remains posted.

Submissions go through review before appearing publicly, and we may edit, decline, or remove any submission at our discretion — including after it's published — for any reason, including if we believe it's inaccurate, inappropriate, or violates these Terms. You agree not to submit content that is false, defamatory, harassing, infringing, or unlawful.

Vendor listings, reviews, and related content on the Service are provided for informational purposes and reflect the experiences and opinions of the members who submitted them. We don't independently verify, endorse, or guarantee the quality, licensing, insurance, or reliability of any vendor listed. Any dealings you have with a vendor found through the Service are solely between you and that vendor, and you engage them at your own risk. We're not a party to, and have no responsibility for, any transaction between you and a vendor.

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Share your account or resell access to the Service;
• Scrape, crawl, or systematically extract content from the Service;
• Upload malicious code or attempt to disrupt or gain unauthorized access to the Service;
• Impersonate any person or misrepresent your affiliation with a vendor or business.

The Service, including its design, text, graphics, and underlying software, is owned by Scarsdale Hub or its licensors and is protected by intellectual property law. These Terms don't grant you any right to use our name, logo, or branding.

We may suspend or terminate your access to the Service at any time, with or without notice, including for violating these Terms. You may stop using the Service and cancel your subscription at any time. Sections of these Terms that by their nature should survive termination — including Sections 6, 8, 10, 11, and 12 — will survive.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, secure, or error-free, or that any content on it is accurate or complete.

To the maximum extent permitted by law, Scarsdale Hub and its owners, employees, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service — including any dealings with vendors found through it — even if we've been advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the twelve months before the claim arose.

You agree to indemnify and hold Scarsdale Hub harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Westchester County, New York, and you consent to that jurisdiction.

We may update these Terms from time to time. If we make material changes, we'll post the updated Terms here with a new "Last updated" date, and where practical, notify you by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
